General Terms
These Terms of Use governs your relationship with Netborg Technologies Ltd. (also known as “Pagevibe”) and its affiliates (collectively "Pagevibe" or "We"), and set forth the terms and conditions under which Pagevibe makes available its internet website at www.Pagevibe.com (the "Site"), and/or the services available through the Site or otherwise provided by Pagevibe (the "Services" and together with the Site, the “Pagevibe Services”), to each person or entity (each a "User" or "You" or “your”) accessing or using the Site and/or the Services.

These terms and conditions, together with any and all other terms, conditions, rules, policies or procedures published on the Site from time to time and related to User's use of the Site and/or Services, each as amended from time to time by Pagevibe constitute a binding, legal agreement between Pagevibe and User (the "Terms"). By using any of Pagevibe Services, you agree to be bound by this Terms, whether you are a "Visitor" (which means that you simply browse the Site, including through a mobile device, or otherwise use the Services without being registered) or you are a "Member" (which means that you have registered with Pagevibe). If you do not agree to be bound by this Agreement and to follow all applicable laws, you should leave the MySpace Website and discontinue use of the MySpace Services immediately. If you wish to become a Member, communicate with other Members and/or make use of the MySpace Services, you must read this Agreement and indicate your acceptance during the registration process. As long as you do not cease using any of Pagevibe Services, you will be conclusively deemed to have accepted these Terms.
Registration
  • Upon registering for an account, each User will receive a password and an account designation. If User has registered for an account to use the Pagevibe Services, User hereby warrants that the information provided by User for the purposes of such registration is complete and accurate. User shall ensure that such information is kept up to date.
  • User acknowledges and agrees that User, and not Pagevibe, is responsible for User's account and all activities occurring in connection with the use of that account, whether or not User authorizes such activities.
  • You are entirely responsible for maintaining the confidentiality of your password. You agree not to use the account, username, or password of another member at any time or to disclose your password to any third party. You agree to notify Pagevibe immediately if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account.
Ownership of IP
  • Certain content and information provided on and through the Pagevibe Services, including, without limitation, Pagevibe's logo, trademark, graphics, design, information, text, images, data and other material displayed, available or present on the Pagevibe Services, that are not User Content (as defined below) (collectively, the "Pagevibe Content") are the copyrighted and/or trademarked work of Pagevibe solely or Pagevibe's affiliates, and may not be used without express written permission from Pagevibe, other than for attribution.
  • You should assume that everything you see or read on the Page Vibe Services is copyrighted unless otherwise noted, and may not be used without Pagevibe's prior written permission, except as otherwise provided herein.
  • Pagevibe retains all rights, including any intellectual property rights in the Pagevibe Content. The Pagevibe Content or any part thereof, is the property of Pagevibe solely, and is protected by applicable intellectual property laws. You hereby acknowledge that you have no right, title or interest in or to any Pagevibe Content.
  • Except as expressly permitted in these Terms, you have no right to modify, edit, copy, reproduce, create derivative works of, reverse engineer, alter, enhance or in any way exploit any of the Pagevibe Content in any manner.
Usage License
  • Pagevibe grants you a limited license to access the Site and use the Services in accordance with these Terms and the instructions and guidelines posted on the Pagevibe Services. Pagevibe reserves the rights to terminate your license to use and/or access Pagevibe Services at any time and for any reason or, in the future, charge for commercial usage.
User Generated Content
User acknowledges and agrees as follows:
  • All messages, text, data, information, /images, photographs, graphics, video or audio, or other materials communicated, submitted or transmitted by User through any of Pagevibe Services (collectively, "User Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such User Content originated.
  • The  User, and not Pagevibe, is responsible for all User Content that User upload, post, email, distribute, communicate, transmit, or otherwise make available using Pagevibe Services or that is otherwise made available through the use of User's account (if User has one), whether or not authorized by User.
  • User further acknowledges and agrees that Pagevibe will not and cannot review every User Content and is not responsible, does not control any User Content originating from User, and does not guarantee the accuracy, integrity or quality of such User Content. Notwithstanding the foregoing, Pagevibe may, but is not obligated to, review all User Content and block, delete, add clarifications, terminate access to, or remove any such User Content that Pagevibe, in its sole discretion, considers to be non-compliant with any of the requirements of these Terms and/or any law or regulation.
  • Pagevibe reserves the right to purge User Content from its databases at any time and from time to time without notice. User acknowledges and agrees that User is solely responsible for backing up any User Content uploaded to the Site or received form another User through the use of the Services. Pagevibe shall not be liable for any purging, deletion or failure to retain any such User Content.
  • You confirm that your content contribution is your own original work, is not defamatory and/or unlawful and/or does not infringe any third party's rights (including privacy rights) and that it complies with these Terms. You agree to pay for all royalties, fees, and any other monies owing any person or entity by reason of any content posted by you on or through the Page VibeServices. You also confirm that your content contribution is not promoted any unlawful activities, gambling and/or pornography..
  • By communicating or transmitting any User Content using any of Pagevibe Services, User hereby grants to Pagevibe an irrevocable, perpetual, non-exclusive, royalty-free and worldwide license to use such User Content in any way We may reasonably choose, including, without limitation copy, transmit, excerpt, publish, distribute, publicly display, publicly perform, create derivative works of, host, index, cache, tag, encode, modify and adapt, in any form or media now known or hereinafter developed, and User warrants to Pagevibe that it has the right to grant such license for such purposes. If you do not want to grant the Pagevibe the said license to use your content contributions in accordance with these Terms, please do not share with or submit them to the Site and/or Services.
  • In the event that you will use Pagevibe Services through a website of any third party (the “Third Party Site”), You undertake to be bound also by such third party website’s rules (including without limitation, its terms of use and privacy policy).
User Conduct
In connection with your use of any of Pagevibe Services, and without limiting any of the other obligations under these Terms or applicable law, you agree as follows:
  • Not to upload, post, email, distribute, communicate, transmit or otherwise make available any User Content: (i) that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, libelous, vulgar, obscene, offensive, indecent, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable, (ii) that infringes any patent, trademark, trade secret, copyright, or other intellectual property right of any party, (iii) that User does not have the right to make available by reason of any law or contractual or fiduciary relationship, or (iv) that comprises or includes any "junk mail", "spam" or disrupt discussions with repetitive messages, ;
  • Not to interfere with or disrupt the Pagevibe Services or servers or networks connected to the Site or the Service, deny service to, hack, crack, reverse engineer, or otherwise interfere with the Site and/or the Services in any manner, or disobey any requirements, procedures, policies, or regulations of networks connected to the Site or the Services;
  • Not to engage in excessive usage of the Site or the Services, as determined by Pagevibe in its sole discretion, including usage that adversely affects the speed, responsiveness, or functionality of the Site, or disrupts the availability of the Site and the Services for other users;
  • By using the any of Pagevibe Services, you hereby acknowledge and agree that you may be exposed to User Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, libelous, vulgar, obscene, offensive, indecent, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable.
Without any obligation from Pagevibe to delete any content, if you see on the Site or Services content you believe to be offensive, you can report such content to us, by sending a link to the relevant content to the following email address: Admin@Pagevibe.com. Notwithstanding the above, if You use Pagevibe Services through Third Party Site, you will report to the owner of such Third Party Site and if you will not receive a response within reasonable time You may report such content to us.

If you see on the Site and/or Services content you believe is infringing of copyrights, please report such content to us, by sending a link to the relevant content to the following email address: Admin@Pagevibe.com Notwithstanding the above, if You use Pagevibe Services through Third Party Site, you will report to the owner of such Third Party Site and if you will not receive a response within reasonable time You may report such suspected infringing to us. It is the Pagevibe’s policy to respond to notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act http://www.copyright.gov/legislation/dmca.pdf.

As part of your report of content you believe is infringing of copyrights You should provide us or the Third Party Site at least information about yourself and proof of ownership of such copyrights.
Usage License
  • Pagevibe may, in its sole discretion, disable/suspend User's account and User's access to use the Site and/or the Services and Pagevibe may recover from User any losses, damages, costs or expenses incurred by Pagevibe resulting from or arising out of User's non-compliance with any provision of these Terms.
Provision of the Site and the Services
  • These Terms shall automatically become effective upon User's first use of the Pagevibe Services, and continue indefinitely until it is terminated.
  • Pagevibe may cancel User's Subscription (if User has one) immediately in the event that User breaches any of User's representations, warranties, or obligations under these Terms or contravenes any applicable law. Upon termination, User shall immediately cease all use of the Site and/or the Services, and User acknowledges and agrees that Pagevibe may, in its sole discretion, take any measures Pagevibe deems necessary or desirable to prevent further use by User of the Site or Services, including by blocking User's IP address.
  • Pagevibe reserves the right at any time and from time to time to modify, suspend, or discontinue, temporarily or permanently, the Services or any part thereof, or User's access thereto, and to modify, suspend or delete the Site or any part thereof. User is entitled to cancel User's Subscription, if any. User acknowledges and agrees that Pagevibe shall not be liable to User, or to any third party, for any modification, suspension or discontinuance of the Services or any modification, suspension or deletion of the Site.
Warranty Disclaimers
  • USER ACKNOWLEDGES AND AGREES THAT THE SITE, THE SERVICES AND ANY OF ITS CONTENT, ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS," ARE USED ONLY AT YOUR SOLE RISK, TO THE FULLEST EXTENT PERMISSIBLE BY LAW. PAGEVIBE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, OF ANY KIND, REGARDING THIS WEB SITE (INCLUDING ITS CONTENT, PRODUCTS, INFORMATION, SOFTWARE, AND LINKS), INCLUDING ANY IMPLIED WARRANTIES AS TO FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, TITLE, NON-INFRINGEMENT, RESULTS, ACCURACY, COMPLETENESS, ACCESSIBILITY, COMPATIBILITY, SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, QUALITY, OR LACK OF VIRUSES. Limitations on Liability and Remedies
  • PAGEVIBE’S ENTIRE LIABILITY AND YOUR EXCLUSIVE REMEDY WITH RESPECT TO ANY DISPUTE WITH PAGEVIBE (INCLUDING WITHOUT LIMITATION YOUR USE OF THE SITE) IS TO DISCONTINUE YOUR USE OF THE SITE. PAGEVIBE AND ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, SERVANTS OR AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY DAMAGE ARISING FROM YOUR USE OF THE SITE OR SERVICES FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OR REGISTRATION WITH PAGEVIBE'S SITE OR SERVICES. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, PAGEVIBE'S LIABILITY IN SUCH STATE OR JURISDICTION SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW. PAGEVIBE DOES NOT ENDORSE, WARRANT OR GUARANTEE ANY PRODUCT OR SERVICE OFFERED THROUGH THIS SITE AND WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. USER ACKNOWLEDGES AND AGREES THAT WITHOUT THE FOREGOING EXCLUSIONS AND LIMITATIONS OF LIABILITY, PAGEVIBE WOULD NOT BE ABLE TO OFFER THE SITE OR THE SERVICES.

  • These Terms comprises the entire agreement between Pagevibe and the User relating to Pagevibe Services. Both User and Pagevibe confirm that they have not relied upon, and shall have no remedy in respect of, any agreement, warranty, statement, representation, understanding or undertaking made by any party (whether or not a party to this Agreement) unless that agreement, warranty, statement, representation, understanding or undertaking is expressly set out in these Terms.
  • Pagevibe reserves the right to change the materials and services offered on the Pagevibe Services and/or change the terms of these Terms at any time (without any further notice), so please review these pages regularly.
  • Pagevibe may assign these Terms at any time to any third party, including the successor in interest in connection with a merger, consolidation or other corporate reorganization in which Pagevibe participates or to the purchaser of all or substantially all of Pagevibe's assets to which this Site relates.
  • You may not use the Pagevibe Services and may not accept these Terms if (a) you are not of legal age to form a binding contract with Pagevibe, or (b) you are a person barred from receiving the Services under the laws of the State of Israel or other countries including the country in which you are resident or from which you use any of Pagevibe Services.
  • These Terms are governed by the laws of the State of Israel without reference to conflict of laws principles. If any provision of these Terms is adjudged to be illegal or unenforceable, the continuation in full force of the remainder of the Terms will not be prejudiced, and the illegal or unenforceable provision of the Terms shall be severed accordingly. You further agree that Pagevibe is entitled to obtain preliminary injunctive relief to the extent allowed by law to enforce any of the terms of these Terms.
  • All notices and other communications required or permitted to be given by Pagevibe to User under these Terms will be deemed to be properly given on the date when: either posted on the Site, or sent by email to the email address that the User last recorded by Pagevibe.
